All net income will be invested into the property and business development.
Out of the account, approximately one half will go into labor expenses and one
half into the upgrading of the property and developing the infrastructure to
operate the property as a successful business. All assets purchased such as
computer hardware will be assigned to the property and the company.
We intend to re-finance the property and pay off all lenders within a 12
month period from the time of purchase of property. Equity investors can expect
to have a return on investment at time of refinance with a projected return on

clear air, the climate is mild with over 300 sunny days per year. Located on
Highway 175 - Cobb Mountain, Ca. 95426. Near the seacoast, in the mountains,
only 100 miles north of San Francisco, near Highway 101 with 55 pine studded
acres in the coastal mountains of Northern California.

Utilities Water is provided by a 100-gallon per minute main well pumping
to 2 hillside storage tanks with a capacity of 40,000 gallons that provides
gravity-fed water to the buildings and grounds. In addition, a 20,000-gallon
storage is located at the well right where the water is treated with a
chlorination system with injector pump and solids settle out of the mountain
water. There are also 3 smaller wells and a hook-up to the local water system as
an alternative source or additional supply.
The facility employs its own sewage treatment plant. The plant includes
two holding ponds and is designed for 30,000 gallons per day capacity.
A business-owned electrical distribution system will provide proved power
to all units at rate lower than PG&E. Emergency power system in place.
Estimated for winter utilities under full occupancy range from $3,000 to $4,500
per month. Boilers are propane and electric. A distributed network of 25 water
heaters provides hot water to all units, with total capacity of 1,600 gallons.
The conference and dining halls in central building are heated by 60,000 BTU
suspended gas heaters which are fed, along with the kitchen equipment, by 11
propane tanks (11,700-gallon capacity). The remaining areas of the central
building have Dearborn gas wall heaters. Also air conditioning is provided.
For laundry needs, a linen processing plant offers industrial size washer and
dryer, along with ample space for folding, etc.
Also on the premises is a carpenter's workshop several storage building,
garden sheds, and a small green house.
Additionally there are tennis courts area and large swimming pool area.

Bottled spa water as a commercial venture is a possibility.
Building Descriptions A 3 story stone and wood frame central building
contains nearly 30,000 sq. ft of common resort facilities, including conference
halls, auditorium and dining halls, as well as offices and guest rooms. Two
2-story wood frame motel buildings offer 16 guestrooms each. In addition
there are 8 large wood frame cabins with 3-8 units each, 64 single unit wood
frame cabins, two residential dwellings and numerous out buildings. All
buildings are in various stages of condition, repair and/or upgrades. The entire
115 building complex sits on 52 acres of mature pines and wide meadows dotted
with wild flowers.
Access The property is located only 100 miles north of San Francisco, off
Highway 175 near the pacific coast, in the mountains, near Highway 101 and
Highway 29. Airports are close to the property.
Parking 100 outdoor spaces with plenty of space for further parking
Age The historic Hoberg's Resort was built in stages from 1928 through the

These income streams support to our ability to pay the loan amounts. The
following are one-year average monthly income streams. Because of the
variability of the usage of the property due to the seasonal demand, the number
will vary month to month with an average for the entire year being expressed
here. Each of the below items reinforce the other income areas by accelerating
the learning curve, creating new synergies, the possibilities of cross-selling
and the expansion of the base of intelligence to focus on all the projects.
1. Food Sales As the property as full commercial food preparation
facilities, we are projecting to sell 150 meals day to visitors and to persons
staying on the property at an average of $10 a meal profit. This equates to
$1500 a day and $45,000 a month profit. Catering will also be available onsite
and even for events occurring offsite - Our gourmet meals will feature fresh
produce. Due to seasonal fluctuations of fresh ingredients, the menus will
vary.
2. Rentals Over the course of a year we are projecting a minimum of 40
overnight visitors per day at a net of $50 per visitor per day. This would
deliver a daily income of $2,000 or an income of $60,000 per month. We have
capacity for 300 persons to stay at the property. During the development phase
we foresee up to 100 persons at a time on location. With the availability of
comprehensive health transformation facilities, the average daily income amount
would have to be re-adjusted to $200 to $1,000 per day per visitor. At $200 per
day our income would jump to $120,000 to $600,000 per month income.
3. Workshops We are projecting to have ongoing workshops on the premises
housing an average of 25 persons per workshop with a net income of $50 per
person per day for an additional income of $1250 per day or $37,500 a month.
Phisolama will offer an attractive yet business-like atmosphere with different
sized meeting rooms for conferences or workshops with large venue capabilities -
We can provide an intimate setting for smaller and for larger groups with

As an aspect of our group presentation facilities we intend to create
multiple networking events to bring together the professional and financial
resources specifically of Northern California. Groups of this nature would

4. Labor Offset Because of the nature of
this project with it's community building and creative aspects we expect to be

5. Products We will be creating a store and gift shop with the whole
property functioning as an art gallery with art in all the rooms of the
property. With a projected $500 a day net, we will be generating another $15,000
per month income.
6. Modular Housing Sales We will be building and featuring functional and
marketable modular houses for the local market. With sales of 2 units per month
and a $30,000 profit each home we expect to be able to increase our income by
another $60,000 per month.
7. Daily and Evening Events The need for an events location in this area
is great. We will be attracting persons from San Francisco north for weekends
and during the week. We project featuring events 3 times a week. These would be
networking and music. With 50 persons average attending at a $20 net per person
we would bring into the property another $3,000 a week or $12,000 a month.

12. Water Birthing Center The current going rate for a water birth is
around $5,000 per birth. We can have facilities for multiple weekly births. With

13. Angel Members Marketing Program Over the first year we project
enrolling a minimum of 3 new member investors a week. With an $10,000 average
